Direct Title to Compute.
Every module Raion deploys sits inside its own Special Purpose Vehicle (SPV)—a standalone legal entity holding the exclusive claim to that specific site and that specific hardware, and nothing else. Each deployment’s assets, obligations, and returns stay inside its own vehicle. We build traceability into the foundation of the asset.

01 — ASSET ISOLATION
Segregated Custody
Asset-level ring-fencing ensures your capital is attached exclusively to the hardware it financed. If a separate arrangement underperforms, it cannot reach into a completed, performing site.
02 — TRACEABILITY
Physical Claim
Investors and sovereign partners hold a claim that traces directly to physical GPUs on a secured site—not a service contract, a pooled fund, or a line item in a cloud provider’s invoice.
03 — DILIGENCE
Independent Audit
Built for institutional allocators. Every SPV maintains an institutional reference minimum with fully independent auditing, ensuring transparent reporting on hardware deployment and power consumption.
04 — ADAPTABILITY
Dynamic Wrappers
Wrappers adapt as the underlying asset matures across construction, income, and liquidity phases. The regulatory and legal structure is defined per vehicle at capital formation.
DEPLOYMENT MECHANICS
Capital Gated by Reality, Not Calendars.
Capital is not released as a lump sum against a signed agreement. It moves in tranches, strictly gated to specific, verifiable physical milestones. At every stage before final commissioning, custody of the underlying assets remains with the partner.

Site & Power Secured
The partner confirms land and power access. Capital is committed, but not yet released.

Module Fabrication
A tranche funds hardware production. Custody of the module remains securely with the manufacturer until physical delivery.

Installation & Energization
A subsequent tranche funds deployment. The module is sited and connected to the power source. Custody remains with the site partner.

Commissioning & Acceptance
The module is rigorously tested against agreed performance criteria. Only upon verified acceptance does the final tranche release and the SPV’s claim take full effect.
THE VEHICLES
Pathways to Liquidity.
No single wrapper does all of the work. The platform operates as a small family of vehicles, introduced in sequence depending on the investor profile.
PE Infrastructure
Closed-ended vehicles matched to the multi-year life of a deployed module: capital commits through build and energization, and returns draw from contracted compute revenue.
Private Credit
Lending secured on powered shells and contracted capacity: fixed income on physical infrastructure, a profile credit committees already know how to underwrite.
Listed Wrappers
Research under way on direct and indirect routes from Gibraltar vehicles into exchange-traded structures, opening the same physical assets to global markets.
